To qualify as accredited, an individual must earn more than $200K/year (or $300K/year with spouse), have a net worth over $1M, or be an investment professional (e.g., a licensed associated person of a broker-dealer or investment adviser). Entities must have $5M in liquid assets or all beneficial owners must be accredited investors
